Teacher Independent Contractor Agreement

This Agreement is between:

• HeyBuddy Enterprises LLC, operator of FiliLearn
• and

the individual Teacher identified in the electronic agreement.

The Teacher provides services as an independent contractor and not as an employee, partner, joint venturer, or agent of FiliLearn, except where applicable law determines otherwise.

The Teacher does not have authority to bind FiliLearn to contracts or obligations.

The Teacher may provide Filipino language and culture instruction through the FiliLearn platform.

Teaching assignments may depend on:

• Teacher availability
• Learner bookings
• Teacher status
• Class availability
• Platform requirements

Teachers establish availability using FiliLearn’s scheduling system subject to platform scheduling requirements.

Once availability results in a confirmed booking, Teachers are expected to honor the booking.

Teachers should not cancel confirmed classes unnecessarily.

Where a Teacher cannot attend a confirmed class, the Teacher should use FiliLearn’s approved reschedule request process.

The Learner may accept another available time.

Teachers must review lesson materials before class.

Teachers must be prepared to teach the assigned lesson.

Teachers may be required to make the classroom available at least ten minutes before the scheduled start time according to FiliLearn operating requirements.

Teachers must use authorized FiliLearn learning materials where required.

Teachers may not distribute proprietary FiliLearn lesson materials outside authorized teaching activities.

Teachers must:

• Communicate professionally
• Maintain appropriate appearance during video classes
• Treat Learners respectfully
• Use appropriate language
• Follow child safety requirements
• Maintain appropriate boundaries
• Follow FiliLearn classroom procedures
• Protect Learner information

Teachers may not use FiliLearn to obtain Learners for private off platform teaching.

Teachers must not:

• Solicit Learners away from FiliLearn
• Request unauthorized private payment
• Exchange personal contact information where prohibited
• Direct Learners to competing private services
• Use FiliLearn Learner information for unrelated commercial purposes

Teachers may have access to confidential information including:

• Curriculum
• Teaching materials
• Learner information
• Internal procedures
• Operational information
• Teacher systems
• Nonpublic business information

Teachers must protect confidential information and use it only for authorized FiliLearn purposes.

FiliLearn materials remain the property of FiliLearn or its licensors.

Teachers receive only the limited rights necessary to provide authorized classes.

Teachers may not copy, disclose, sell, or use FiliLearn confidential curriculum or proprietary materials to develop or support a competing product.

Any broader restriction concerning outside teaching activity will apply only where separately agreed, lawful, reasonable, and enforceable in the Teacher’s jurisdiction.

Teachers acknowledge that Live Classes may be recorded for:

• Quality assurance
• Safety
• Review
• Training
• Technical investigation
• Dispute resolution
• Compliance

Teacher access to recordings may be restricted.

FiliLearn may review:

• Attendance
• Class recordings
• Chat
• Lesson activity
• Join times
• Disconnects
• Complaints
• Learner feedback
• Other legitimate quality and safety information

This review does not guarantee continuous real time monitoring.

Teachers are expected to attend confirmed classes on time.

The platform may automatically record:

• Join time
• Leave time
• Disconnects
• Reconnects
• Class duration

A Teacher who fails to attend a confirmed class without authorization may not receive compensation for that session.

Repeated missed or canceled classes may result in disciplinary review.

Where a Learner fails to attend, compensation may be determined according to the current Teacher Compensation Policy.

Current compensation terms should be displayed in the Teacher portal and incorporated into the Teacher’s contract version.

Teacher compensation rates will be stated in the Teacher portal or applicable compensation schedule.

Teachers are paid according to FiliLearn’s current approved payment schedule.

Where applicable, standard payout dates may include the fifteenth and final applicable payout date of each month, based on FiliLearn cutoff procedures.

Specific compensation amounts should not be hardcoded into this legal page if Super Admin can change compensation.

The signed contract should preserve the compensation terms applicable to that Teacher.

Teachers must provide accurate authorized payment information.

Teachers are responsible for ensuring payment information remains current.

Teachers are responsible for their own tax obligations to the extent required by applicable law.

Nothing in this Agreement prevents a government authority from determining a different classification or tax treatment where required.

Teachers may be required to provide:

• Government identification
• Selfie verification
• Contact information
• Address
• Professional information
• Other verification material

Providing false or altered documents may result in rejection or termination.

Teachers must not share Teacher credentials.

A Teacher is responsible for promptly reporting suspected account compromise.

Teachers interacting with minors must maintain strict professional boundaries.

Teachers may not:

• Request secret communication
• Solicit private photographs
• Discuss sexual material unrelated to legitimate curriculum
• Attempt private physical meetings
• Harass or manipulate a child
• Ask a child to conceal communication from a parent or guardian

Child safety concerns may result in immediate suspension while investigated.

FiliLearn messaging should be used for appropriate educational and scheduling communication.

Teachers must not use messaging for unrelated solicitation or inappropriate personal relationships.

FiliLearn may review Teacher performance using factual operational information including:

• Attendance
• Preparation
• Class completion
• Learner complaints
• Lesson delivery
• Professional conduct
• Technical compliance
• Recordings

FiliLearn may provide coaching or corrective guidance.

Depending on severity, FiliLearn may use measures such as:

• Coaching
• Warning
• Strike
• Temporary suspension
• Required retraining
• Contract termination

Serious safety or fraud incidents may result in immediate suspension or termination without progressive steps.

Where FiliLearn uses a strike system, missed or improper cancellations may result in strikes.

Current strike rules should be visible in the Teacher portal.

Where four qualifying strikes trigger suspension under FiliLearn’s current rules, the platform should display that rule clearly.

Teachers may be provided an appeal process.

Teachers are responsible for maintaining reasonably suitable:

• Internet connectivity
• Camera
• Microphone
• Device
• Private teaching environment
• Supported browser or app

Teachers must follow FiliLearn privacy requirements.

Learner information must not be downloaded, disclosed, or retained outside FiliLearn unless specifically authorized.

Teachers must take reasonable steps to prevent:

• Unauthorized screen viewing
• Account sharing
• Credential exposure
• Unauthorized recording
• Improper storage of Learner information

This Agreement begins when accepted and continues until terminated according to its terms.

A Teacher may discontinue future services according to FiliLearn notice and scheduling procedures.

Confirmed class obligations must be addressed appropriately.

FiliLearn may suspend or terminate a Teacher for reasons including:

• Material contract violation
• Fraud
• Safety concerns
• Repeated attendance problems
• Serious misconduct
• Confidentiality violations
• Unauthorized Learner solicitation
• Account sharing
• False documentation
• Legal requirements

Termination does not eliminate obligations concerning:

• Confidentiality
• Intellectual property
• Privacy
• Outstanding payment reconciliation
• Investigation of prior conduct
• Applicable legal obligations

Teachers may sign this Agreement electronically through FiliLearn.

The system should store:

• Teacher identity
• Contract version
• Full contract text
• Signature
• Signature date
• Timestamp
• Electronic acceptance evidence

A signed version must not be silently modified after signature.

New material terms require a new agreement version.

This Agreement is intended to operate subject to applicable laws governing the Teacher and the services.

Because Teacher classification rules differ by jurisdiction, FiliLearn should obtain appropriate legal review for jurisdictions where Teachers are engaged.
